Announcement of Acquisition

Nissha Co., Ltd. (hereinafter “the Company”), has acquired the majority equity of Cathtek, LLC (North Carolina, USA, hereinafter “Cathtek”) through its consolidated subsidiaries Eimo Technologies, Inc. (Michigan, USA) and Nissha Eimo Acquisition Corp (Delaware, USA), and hereby announces that Cathtek has become a subsidiary of the Company.

Introduction to Nissha

Nissha is a Japanese publicly held company based in Kyoto, Japan (TSE:7915). Nissha’s Industrial Materials Business Unit (“IMBU”) engages in the planning, development, production and sale of materials and components for various industries, including medical and consumer healthcare devices. Nissha’s wholly owned subsidiary, Eimo Technologies, Inc., operates state-of-the-art manufacturing facilities in Vicksburg, Michigan serving tooling and molding services to customers in the automotive, medical, government and consumer product industries.

Rationale of the Transaction
Cathtek has built a strong reputation as a developer and manufacturer of medical products and is a trusted partner with many existing and emerging companies in the medical device and life science sectors. Cathtek continues to win business with existing and new customers and has many exciting projects in the pipeline. While we believe Cathtek could continue to grow on a standalone basis, we believe Nissha’s IMBU and Cathtek together create an even more exciting proposition as we have a large overlap in the commercial focus among our companies. We believe that Cathtek can quickly benefit from Nissha’s engineering and operational expertise and gain exposure to additional OEMs in Europe, the United States and Asian markets. In the long term, our respective companies can jointly provide an integrated value proposition to our shared customer base to further accelerate growth. We want to work together to explore these and other potential operational synergies among our companies.

Business Continuity
It is the intent that this transaction will have no impact on existing business among Cathtek’s customers. All employees will remain active, including current owners and management. There are no changes to facilities, products, or services. We feel strongly that this will create a foundation to better serve our customers as they grow their products in the market.
